Terms of Service

1. Acceptance of Terms
By accessing or using the StartPOS platform ("Service") provided by Startup Tech Consultancy LTD ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
If you do not agree to these Terms, you must not access or use our Service.
2. Description of Service
StartPOS is an AI-powered Point of Sale (POS) and Enterprise Resource Planning (ERP) platform that provides:
- check_circleSales management, invoicing, and ZATCA-compliant e-invoicing for the Kingdom of Saudi Arabia.
- check_circleInventory management, purchasing, and supplier management.
- check_circleAI-powered business intelligence, analytics dashboards, and natural language query capabilities.
- check_circleCustomer relationship management (CRM) and financial reporting.
- check_circleMulti-store, multi-branch business management.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts to use StartPOS. By using the Service, you represent and warrant that you meet these requirements and that all information you provide to us is accurate and complete.
4. Account Registration and Security
To access the Service, you must register for an account. You agree to:

- arrow_rightNotify us immediately of any unauthorised access to your account.
- arrow_rightAccept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.
5. Subscription and Payment
Access to StartPOS is provided on a subscription basis. The following terms apply to payment:
- paymentsSubscription fees are billed in advance on a monthly or annual basis as selected at the time of subscription.
- paymentsAll fees are non-refundable except as required by applicable law or as stated in our refund policy.
- paymentsWe reserve the right to change subscription prices with 30 days' written notice. Continued use after the price change constitutes acceptance.
- paymentsLate or failed payments may result in suspension of access to the Service.
- paymentsPrices are exclusive of applicable taxes (including VAT where applicable).
6. Acceptable Use Policy
You agree to use StartPOS only for lawful business purposes. You must not:
- cancelUse the Service for any unlawful, fraudulent, or deceptive activity.
- cancelUpload or transmit malicious code, viruses, or any harmful software.
- cancelAttempt to gain unauthorised access to any systems or networks connected to the Service.
- cancelReverse-engineer, decompile, or disassemble any portion of the Service.
- cancelResell, sublicense, or redistribute the Service without our prior written consent.
- cancelUse automated tools to scrape, crawl, or extract data from the Service.
- cancelSubmit false, misleading, or fabricated business data into the system.
7. Data Ownership and Privacy
Your data belongs to you. All business data you input into StartPOS remains your property. We act as a data processor on your behalf and process your data only in accordance with your instructions and our Privacy Policy.
You grant us a limited, non-exclusive licence to use your data solely for the purpose of providing and improving the Service. We will not use your business data to train AI models without your explicit consent.
Upon termination of your account, we will make your data available for export for 30 days, after which it may be permanently deleted.
8. ZATCA Compliance and Tax Obligations
StartPOS provides tools to assist with ZATCA (Zakat, Tax and Customs Authority) Phase 1 and Phase 2 e-invoicing compliance in the Kingdom of Saudi Arabia. However:
- infoYou remain solely responsible for ensuring your tax filings and invoicing practices comply with all applicable laws and regulations.
- infoWe are not a tax adviser, and nothing in the Service constitutes tax, legal, or accounting advice.
- infoWe do not guarantee that the Service will remain compliant with future regulatory changes without updates.
9. AI Features and Accuracy
StartPOS includes AI-powered features such as natural language business intelligence, demand forecasting, and analytics. Please note:
- smart_toyAI-generated responses, forecasts, and insights are provided for informational purposes only and should not be the sole basis for business decisions.
- smart_toyWe do not warrant the accuracy, completeness, or reliability of AI-generated outputs.
- smart_toyYou are responsible for verifying AI outputs before making financial, operational, or strategic decisions.
10. Intellectual Property
The Service and its original content, features, functionality, branding, and technology are and will remain the exclusive property of Startup Tech Consultancy LTD and its licensors. Our trademarks and trade dress may not be used without our prior written permission.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during the term of your subscription.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Startup Tech Consultancy LTD shall not be liable for:
- warningAny indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- warningLoss of profits, revenue, data, business, or goodwill.
- warningService interruptions, delays, or errors beyond our reasonable control.
- warningActions or omissions of third-party services integrated with the platform.
Our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
12. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
13. Termination
Either party may terminate the subscription at any time with written notice. Upon termination:

- arrow_rightYou may export your data within 30 days of termination, after which data may be permanently deleted.
- arrow_rightWe reserve the right to immediately terminate accounts that violate these Terms without prior notice.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For customers operating in the Kingdom of Saudi Arabia, applicable KSA regulations shall also apply to the extent required by local law.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice on the platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
